All quotes and proposals are valid for the period specified within the document unless otherwise stated.
Project timelines begin only after:
The proposal has been approved.
Required deposits have been received.
All necessary content and project materials have been provided by the client.
Delays in receiving required information may affect delivery timelines.
Payment terms are outlined in each project agreement.
Unless otherwise agreed:
A deposit may be required before work begins.
Remaining balances are due according to the agreed payment schedule.
Late payments may result in project delays or suspension of work.
Completed work may remain unpublished until outstanding balances have been paid.
All prices are listed in the agreed currency and are exclusive of applicable taxes unless stated otherwise.
Most projects include a defined number of revisions as specified in the project proposal.
Additional revisions or changes outside the agreed scope may incur additional charges.
Requests for significant changes after project approval may require a revised quotation.
To ensure successful project delivery, clients agree to:
Provide accurate information.
Supply required content, images, and materials on time.
Review deliverables promptly.
Provide consolidated feedback whenever possible.
Obtain legal rights for all materials supplied to Des&Dev.
Clients remain responsible for the accuracy and legality of the information they provide.
Unless otherwise agreed in writing, ownership of completed project deliverables transfers to the client after full payment has been received.
Until final payment:
All designs remain the intellectual property of Des&Dev.
Source files may be withheld.
Usage rights remain limited.
Des&Dev reserves the right to display completed work in its portfolio, website, and marketing materials unless a written confidentiality agreement states otherwise.

Hosting providers
Domain registrars

Payment gateways
Des&Dev is not responsible for outages, pricing changes, policy updates, or technical issues caused by third-party providers.

Because search engine algorithms are controlled by third parties and change regularly, Des&Dev cannot guarantee:

Traffic increases
Lead generation
Revenue growth
We focus on implementing sustainable SEO strategies designed to improve long-term online visibility.
AI integrations and automations are configured according to client requirements and available technologies.
Clients remain responsible for reviewing AI-generated outputs before using them publicly or making business decisions based on automated responses.
Unless included within a maintenance agreement, clients are responsible for:
Website hosting
Domain registration
SSL certificates
Email hosting
Software licensing
Ongoing maintenance
Maintenance plans cover only the services specifically listed in the agreement.
To the fullest extent permitted by law, Des&Dev shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from:
Website downtime
Loss of revenue
Loss of data
Search engine ranking fluctuations
Third-party software failures
Business interruption
Our total liability shall not exceed the amount paid for the specific service giving rise to the claim.
You agree to indemnify and hold harmless Des&Dev from any claims, damages, liabilities, losses, or expenses arising from:

Materials supplied by you.

Violation of any third-party rights.
Either party may terminate a project by providing written notice.
Clients remain responsible for payment of all completed work performed up to the cancellation date.
Deposits are generally non-refundable once work has commenced unless otherwise agreed in writing.
